Yesterday's News® brand Cat Litter: It Pays To Be A Do-Gooder

The Purina® Yesterday's News® Do-Gooder Awards Contest ("Contest") starts at noon Eastern Time (ET) on Monday, September 14, 2009 and ends at 11:59:59 a.m. ET on Friday, October 23, 2009. Entries posted after 11:59:59 a.m. ET on October 23, 2009 will not be considered. Contest sponsored by Nestlé Purina PetCare Company, Checkerboard Square, St. Louis, MO 63164 ("Sponsor"), and administered by Cone LLC, an independent judging organization.

ELIGIBILITY: Contest offered only in the 50 United States and the District of Columbia to legal residents of the U.S. who own one or more cats and, at the time of entry, are 18 years of age or older. Entrants under the age of majority (21 if a MS or DC resident, 19 if an AL or NE resident, 18 in all other states) must have their parent's or legal guardian's permission to enter. Open to amateur writers only. Persons who have been paid for a personally-produced essay or article are ineligible. Employees of Nestlé Purina PetCare Company, its parent companies, affiliates, subsidiaries, advertising, promotion, public relations and production agencies and their immediate family members and persons living in the same household of each are not eligible to enter. This Contest is subject to all federal, state and local laws and regulations. Void where prohibited or restricted by law.

TERMS OF SUBMISSION: As conditions of entry into this Contest, and by uploading an essay submission, each entrant:

• 1. WARRANTS AND REPRESENTS THAT THE ENTRANT IS THE OWNER OF THE CAT OR CATS FEATURED IN THE CONTEST ESSAY SUBMISSION;
• 2. WARRANTS AND REPRESENTS THAT THE ENTRANT OWNS ALL RIGHTS, WITHOUT LIMITATION, TO THE SUBMISSION THAT HE OR SHE IS SUBMITTING IN THIS CONTEST;
• 3. WARRANTS AND REPRESENTS THAT HIS/HER SUBMISSION IS ORIGINAL TO THE ENTRANT AND HAS BEEN LEGALLY CREATED, DOES NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, OR VIOLATE APPLICABLE LAWS OR REGULATIONS AND HAS NOT BEEN PUBLISHED PREVIOUSLY IN ANY MEDIUM OR ENTERED IN PREVIOUS CONTESTS; AND
• 4. ACKNOWLEDGES AND AGREES THAT, IF AN ENTRANT'S SUBMISSION IS SELECTED AS A WINNER, THE ENTRANT WILL EXECUTE AN AFFIDAVIT OF ELIGIBILITY AND LIABILITY RELEASE, IN WHICH HE/SHE WILL IRREVOCABLY ASSIGN AND TRANSFER TO THE SPONSOR ANY AND ALL RIGHTS, TITLE AND INTEREST IN THE SUBMISSION, INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS, AND WAIVE ALL MORAL RIGHTS IN THAT SUBMISSION.

Entrant agrees to indemnify and hold Sponsor and its affiliates, officers, directors, agents, and other partners, and any of their employees (collectively, the "Contest Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Contest Indemnitees due to or arising out of the entrant's submission or the entrant's conduct during and in connection with this Contest, including, but not limited to, trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation.

Entrant agrees to release and indemnify and hold harmless Contest Indemnitees from any and all claims that any commercial, advertising, presentation, Web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringes on the rights of entrant's work as contained in any submission.

HOW TO ENTER: NO PURCHASE OR INTERNET SERVICE SUBSCRIPTION IS NECESSARY TO ENTER OR WIN. Visit the Sponsor's website at www.yesterdaysnews.com/dogooder between noon ET on September 14, 2009 and 11:59:59 a.m. ET on October 23, 2009 and follow the on-line instructions. Then upload your original essay and click "SUBMIT". All entries must adhere to the ENTRY REQUIREMENTS specified below.

Limit one entry per person, email address, or household; entries must be posted by 11:59:59 a.m. ET on Friday, October 23, 2009. If you submit more than one entry, only the entry that is posted and processed first will be eligible. In the event of a dispute over the identity of an online entrant, the entry will be deemed made by the authorized account holder of the e-mail address at time of entry. The authorized account holder is the natural person who is assigned to the e-mail address by an Internet access provider, on-line service provider, or other organization, or the domain associated with the e-mail address.

All entries become the property of the Sponsor, which retains all rights including, but not limited to, any intellectual property rights, including copyrights, the right to copy, edit, modify, adapt, publish, and/or use or not use any submissions in any way and in all media, throughout the world, without limitation or further consideration. No correspondence about entries will be entered into, nor will essays be acknowledged or returned. If required information is not included, entry will be disqualified.

Sponsor is not responsible for late or incomplete entries. If a problem occurs in the on-line submission process you should receive an "Error" message. However, the responsibility to electronically forward the entry is the entrant's and neither Sponsor nor the Contest administrators shall be responsible for any essay not actually received due to incomplete or improper transmission. Similarly, neither Sponsor nor Contest administrators has any obligation to advise entrant of an incomplete submission.

Sponsor, Cone LLC, and/or other Contest administrators may prohibit you from participation in the Contest if, at their sole discretion, you show a disregard for, or attempt to circumvent these Official Contest Rules, or act: (a) in a manner that affects the administration, security, fairness or proper play or conduct of the Contest in any way; (b) with an intent to annoy, threaten or harass any other entrant or the Sponsor; or (c) in any other disruptive manner.

ENTRY REQUIREMENTS: To enter the Contest, entrants must do each of the following:

• Complete the on-line entry form by providing all required information.
• Submit an essay of 300 words or less describing, in English, the simple steps you take, and good choices you make to help any one of the following:
  • - Your cat
  • - Your home
  • - Your environment

The cat(s) featured in the essay must be owned by the entrant and live in the same household as the entrant. Because Nestlé Purina PetCare Company promotes the compassionate care of all pets, essays describing unsafe situations or not exemplifying responsible pet ownership, in Sponsor's sole discretion, will not be considered. Essay submission must be the property and original work of the entrant, may not have been previously distributed, may not have won prior awards, and must not infringe on any third-party rights. Essays written by professional writers, defined as individuals who earn their primary income as a writer, will not be accepted or will be disqualified.

Essays submitted for entry failing to observe any of these requirements, in the sole judgment of Sponsor and/or Cone, LLC, will be disqualified.

JUDGING: All essays received within the entry period will be judged by an independent panel of judges based on the following criteria: Creativity, composition and originality (60%); Appropriateness to the Contest theme - doing good for cat, home, or environment (40%). Using these judging criteria, three (3) Grand Prize winners will be selected; one in each category (cat, home, environment).

WINNER NOTIFICATION, AFFIDAVITS AND RELEASES: Each of the three Grand Prize winners will be notified by e-mail or by overnight mail on or before November 14, 2009 and will be required to execute, and deliver to Sponsor within three (3) days of notification, a signed Affidavit of Eligibility, Publicity Release and Release of Liability. A winner under the age of majority in their home state must have their parent or guardian sign and execute Affidavits and Releases. Except where prohibited by law, submission of a completed Affidavit and Release constitutes permission to use the winner's name, biographical information, likeness, and submitted essay for purposes of advertising and promotion in all media, including on-line worldwide, without limitation or further compensation. Failure to return a completed Affidavit within the prescribed time period will result in disqualification and selection of an alternate winner.

PRIZES: Three (3) Grand Prizes will be awarded:

Grand Prize: A $20,000 Do-Gooder Awards Package consisting of a $5,000 cash prize for the winner, and a $15,000 cash award from Sponsor directly to the winner's choice of any local pet shelter, recycling program, or "green" gardening organization. In addition, each of the Grand Prize winners will receive a one-year supply of Purina® Yesterday's News® brand Cat Litter in the form of twelve (12) manufacturer's coupons, each good for one package, any size, and variety (maximum retail value up to $16.99 each). The total retail value of coupon prize is up to $203.88.

Prizes are not transferable or assignable. There will be no substitution or exchange of a prize except at the sole discretion of the Sponsor. Should any component of a prize be unavailable, for any reason, the Sponsor reserves the right to substitute a prize or prize component of equal or greater value. All applicable taxes and expenses related to the acceptance and use of the $5,000 winner's portion of the prize package are the sole responsibility of the winners.

GENERAL CONDITIONS: By entering, participants (or, if under the age of majority in their state of residence, their parents or legal guardians) agree: (a) to be bound by these Official Contest Rules and the decisions of the Sponsor, Cone LLC, and/or other Contest administrators which shall be final and binding, and (b) that the Sponsor, its parent companies, affiliates and subsidiaries, their respective officers, directors, agents, and employees are not responsible for and shall not be liable for: (1) any incorrect or inaccurate information associated with or utilized in the Contest, whether caused by website users, tampering, hacking, or any of the equipment or programming associated with or utilized in the Contest; (2) any error, omission, interruption, deletion, defect, delay in operation or unauthorized access to the website or in any material associated with the Contest; (3) any injury, damage, or loss to participants' or any other person's computer related to or resulting from participating in this Contest or downloading materials from, or otherwise using, the website; (4) telephone, electronic, hardware or software program, network, internet or computer malfunctions, failures or difficulties; (5) any design, typographical or other errors in any materials associated with the Contest; (6) garbled, incomplete, misdirected, late, lost, undelivered, or unprocessed entries; (7) any condition caused by events beyond the control of the Sponsor which may cause the Contest to be disrupted or corrupted; or (8) any loss, injury or damage of any kind caused by participation in this Contest, or by the acceptance and/or use of any prize. Sponsor reserves the right in its sole discretion to modify, cancel, terminate, or suspend all or any portion of this Contest should fraud, virus, bugs, unauthorized human intervention, systems malfunctions, failures or difficulties, or other causes beyond the control of the Sponsor and its agencies corrupt or affect the administration, security, fairness or proper play or conduct of the Contest.

By entering this Contest you give your consent for Sponsor to deliver your entry material and/or personal information to Cone, LLC and/or other Contest administrators as required for the purpose of administering the Contest. Only Sponsor, Cone, LLC and such other Contest administrators will have access to the personal information. Information will be used in accordance with Sponsor's online privacy policy. Submissions that do not comply with these Official Contest Rules or that otherwise contain prohibited or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be considered for a prize. Sponsor makes the final determination as to which submissions are eligible to take part in this Contest and be considered for a prize.
